1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ClinLog ("we", "us", or "our") regarding your use of the ClinLog service (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, customers, or contributors of content.
2. Description of Service
ClinLog is a web-based application designed to help provisional psychologists and registrars in Australia track their practice hours, supervision, and continuing professional development (CPD) activities in accordance with the Psychology Board of Australia requirements.
The Service includes features such as:
Logging and tracking of practice hours (direct client contact, indirect practice, supervision, and CPD)
Progress tracking toward pathway requirements
Analytics and reporting tools
Supervisor management
Multi-program support for tracking different programs or pathways
3. User Accounts
3.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Responsibilities
You agree to:
Maintain the security of your account and password
Notify us immediately of any unauthorised use of your account
Ensure that all information you provide is accurate and up-to-date
Use the Service only for lawful purposes and in accordance with these Terms
Not share your account credentials with any third party
4. Subscription and Payment
4.1 Subscription Plans
The Service is offered on a subscription basis. Current subscription pricing is $15 AUD per month, which includes a 30-day free trial period for new users.
4.2 Free Trial
New users are eligible for a 30-day free trial. During the trial period, you have full access to all Service features. If you do not cancel your subscription before the end of the trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged.
4.3 Payment Processing
Payments are processed through Stripe, a third-party payment processor. By subscribing, you agree to Stripe's terms and conditions. We do not store your complete payment card information on our servers.
4.4 Billing and Renewal
Subscriptions automatically renew on a monthly basis unless cancelled. You will be charged the subscription fee on the same day of each month as your initial subscription date. We will notify you of any changes to subscription pricing with at least 30 days' notice.
4.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the period for which you have already paid. No refunds will be provided for the current billing period, except as required by Australian Consumer Law.
4.6 Refunds
Refunds are provided in accordance with Australian Consumer Law. If you are not satisfied with the Service, please contact us at support@clinlog.au. We will consider refund requests on a case-by-case basis, particularly where there has been a material failure of the Service to meet consumer guarantees.
5. User Content and Data
5.1 Ownership of User Data
You retain all ownership rights to the data and content you upload or create within the Service ("User Content"). This includes log entries, supervisor information, notes, and any other data you input into the Service.
5.2 License to Use User Content
By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your account or remove the User Content, except as necessary to comply with legal obligations or enforce these Terms.
5.3 Data Accuracy
You are solely responsible for the accuracy, completeness, and legality of all User Content. We do not verify the accuracy of your log entries or other data. The Service is a tool to assist with tracking, but you remain responsible for ensuring compliance with Psychology Board of Australia requirements.
5.4 Data Export
You may export your data at any time through the Service's features. We recommend regularly exporting your data as a backup.
6. Acceptable Use
You agree not to:
Use the Service for any illegal or unauthorised purpose
Violate any laws in your jurisdiction (including but not limited to copyright laws)
Transmit any worms, viruses, or any code of a destructive nature
Attempt to gain unauthorised access to the Service or its related systems or networks
Interfere with or disrupt the Service or servers or networks connected to the Service
Use automated systems (bots, scrapers) to access the Service without our express written permission
Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
Collect or store personal data about other users without their express permission
7. Intellectual Property
7.1 Service Ownership
The Service, including its original content, features, functionality, design, and software, is owned by ClinLog and is protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. This license does not include any right to:
Resell or make commercial use of the Service
Make any derivative use of the Service
Use any data mining, robots, or similar data gathering or extraction methods
Download (other than page caching) any portion of the Service
8. Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will endeavour to provide reasonable notice of any significant changes or discontinuation.
We do not guarantee that the Service will be available at all times or that it will be free from errors, viruses, or other harmful components. We are not liable for any loss or damage resulting from your inability to access or use the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
The Service will meet your specific requirements
The Service will be uninterrupted, timely, secure, or error-free
The results that may be obtained from the use of the Service will be accurate or reliable
The quality of any products, services, information, or other material obtained by you through the Service will meet your expectations
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLINLOG, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Your use or inability to use the Service
Any conduct or content of third parties on the Service
Any unauthorised access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from the Service
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service
Our total liability to you for all claims arising from or in connection with the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 AUD, whichever is greater.
Nothing in these Terms excludes, restricts, or modifies any liability that cannot be excluded, restricted, or modified under Australian Consumer Law, including liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.
11. Indemnification
You agree to indemnify, defend, and hold harmless ClinLog and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from:
Your use of and access to the Service
Your violation of any term of these Terms
Your violation of any third-party right, including without limitation any copyright, property, or privacy right
Any claim that your User Content caused damage to a third party
12. Termination
12.1 Termination by You
You may terminate your account at any time by cancelling your subscription and deleting your account through the Service's account settings.
12.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
12.3 Effect of Termination
Upon termination, we will retain your data for a reasonable period (typically 30 days) to allow you to export it. After this period, we may delete your account and all associated data, except as required by law. You are responsible for exporting your data before account deletion.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia and the laws of the state or territory in which ClinLog operates, without regard to its conflict of law provisions.
13.2 Dispute Resolution
If a dispute arises in connection with these Terms or the Service, you agree to first contact us at support@clinlog.au to seek resolution. If we cannot resolve the dispute within 30 days, either party may refer the dispute to mediation in accordance with the Australian Disputes Centre Mediation Rules, or to the courts of Australia.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may cancel your subscription.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be replaced with a valid provision that comes closest to the intent of the invalid provision.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClinLog regarding the Service and supersede all prior agreements and understandings, whether written or oral.
